These Terms of Service (“Terms”) govern your access to and use of the website, referral portal, and care-coordination services (together, the “Services”) provided by Medical Access Corp (“MAC,” “we,” “us”). By using the Services you agree to these Terms.
If you use the Services on behalf of an organization (such as a clinic or practice), you represent that you are authorized to bind that organization, and “you” includes that organization. If you do not agree to these Terms, do not use the Services.
MAC is a care-coordination platform. We coordinate referrals from referring professionals to allied-health clinics and specialists, help book appointments, coordinate assessments and treatment, and relay progress and outcomes. MAC does not provide healthcare, does not practise medicine, and is not a party to the clinical relationship between a provider, a clinic, and a patient. Matching and coordination are logistical services, not clinical advice.
Some features require an account. You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security or safety risk.
Referring providers and treating clinics remain solely responsible for all clinical decisions, for the accuracy and appropriateness of referrals, for obtaining any necessary patient consent, and for the care they deliver. MAC does not verify clinical judgment and is not responsible for the outcome of any treatment. Clinics are responsible for their own licensing, insurance, and compliance.
Fees, where applicable, are described in your order form or clinic agreement (for example, a transparent percentage fee on work routed to a clinic). Unless stated otherwise, fees are exclusive of applicable taxes. We may change fees prospectively with reasonable notice. Confirm all fee terms with counsel and your commercial agreements.
The Services, including software, design, brand assets, and content, are owned by MAC or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services as permitted by these Terms. You retain rights to the information you submit, and grant us the rights needed to operate the Services and route referrals.
The Services integrate with third parties, including Clinicmaster for practice management, scheduling, and billing. Your use of a third-party service may be subject to its own terms. We are not responsible for third-party services we do not control.
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Nothing on the website or in the Services is medical advice.
To the fullest extent permitted by law, MAC and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Services. Our aggregate liability for any claim will not exceed the amounts you paid to us for the Services in the twelve months before the claim. Final liability caps must be set by counsel.
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, or as needed to protect the Services or others. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will survive.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Ontario will have exclusive jurisdiction, subject to any mandatory rights you have under applicable law. Confirm venue and governing province with counsel.
